What a workable construction contract settles

  • Scope, drawings and specification — annexed, not described loosely. Most disputes are scope disputes wearing another name.
  • Price basis — lump sum, item rate, or cost plus — and how it changes if quantities change.
  • Milestones and payment, tied to verified completion rather than elapsed time.
  • Retention — how much is held back, and when it is released.
  • Variations — how a change is instructed, priced and agreed. Verbal variations are the single biggest source of construction arguments in Vadodara.
  • Materials — who supplies what, quality standards, and who bears loss.
  • Delay — liquidated damages, extension of time, and what counts as an excusable delay.
  • Defect liability period and what the contractor must put right.
  • Insurance, workmen and statutory compliance — and who carries that risk.
  • Termination — for default and for convenience, and what is paid on each.
Liquidated damages must be a genuine pre-estimate.

A delay penalty plucked from the air reads as a penalty and is treated accordingly. Tie it to the loss delay would actually cause — rent foregone, alternative accommodation, interest on borrowed funds — and it has a realistic chance of being enforced.

Sub-contracting

Where part of the work is sub-contracted, the sub-contract should be back-to-back with the main contract on the terms that matter — scope, timelines, quality, payment triggers and liability. Where the main contract imposes an obligation that cannot be passed down, the main contractor retains it.

On stamp duty.

We do not publish duty figures on this website. The Gujarat Stamp Act, 1958 was amended in 2025 and several articles were restructured; a rate printed on a web page goes stale and costs somebody money. As a Government authorised e-Stamping centre we confirm the duty currently prescribed for your specific document and issue the e-stamp against it, at face value. The notarial fee is separate and capped by law — ₹35 to attest execution, ₹35 to administer an oath or take an affidavit, under Rule 10(1) of the Notaries Rules, 1956. The full fee table →

Drafted by an advocate of 35+ years rather than filled into a downloaded template, e-stamped at a Government authorised centre, and notarised in the same visit. If the parties read Gujarati, the document is drafted in Gujarati — not translated out of an English form, because legal Gujarati has its own settled vocabulary and a literal translation frequently means something looser.

Common questions

Should the contractor's quotation just be the contract?

A quotation prices work. It rarely deals with variations, delay, defects, retention, insurance or termination — which is where the money is decided. Attach the quotation as the price schedule and put a proper contract around it.

Can I hold back money until the work is right?

That is what a retention clause does, and it is worth having. It needs to say how much is held, on what event it reduces, and when the balance is released — usually at the end of the defect liability period.

The contractor is asking for a variation I never approved. What now?

Your position depends on whether the contract required variations to be instructed in writing before being carried out. It is a clause people cut and then regret. Bring the papers and the correspondence.
