Vehicle Sale Agreement & Delivery Note

Handing over a vehicle before the RTO transfer completes leaves the seller exposed. This is the document that closes that gap.

Until the RTO record changes, the vehicle is still yours on paper.

That matters more than most sellers realise. If the buyer is involved in an accident, commits an offence, or simply abandons the vehicle before the transfer goes through, the registered owner is the person the system looks for. A dated sale agreement and delivery note, properly notarised, is what evidences when possession and responsibility actually passed.

What the agreement should record

  • Full particulars of the vehicle — registration number, chassis and engine numbers, make and model
  • The price and how it was paid
  • The exact date and time of delivery, and an acknowledgement of receipt
  • Odometer reading and condition at handover
  • That the buyer takes responsibility for the vehicle from delivery — including offences, accidents, challans and parking
  • The buyer's undertaking to complete the RTO transfer within a stated period, and what happens if he does not
  • Confirmation that any hypothecation has been cleared, or how it will be
Sellers: follow up the transfer.

Do not treat the sale as finished when the money arrives. Check the RTO record afterwards and keep the signed Forms 29 and 30 acknowledgement. If the buyer has not transferred it within the period agreed, chase it — the exposure is yours, not his.

On stamp duty.

We do not publish duty figures on this website. The Gujarat Stamp Act, 1958 was amended in 2025 and several articles were restructured; a rate printed on a web page goes stale and costs somebody money. Drafted by an advocate of 35+ years rather than filled into a downloaded template, e-stamped at a Government authorised centre, and notarised in the same visit. If the parties read Gujarati, the document is drafted in Gujarati — not translated out of an English form, because legal Gujarati has its own settled vocabulary and a literal translation frequently means something looser.

Common questions

Do I need a sale agreement if we are doing the RTO transfer anyway?

Yes, because the transfer is not instantaneous. Between handover and the RTO record changing, the registered owner carries the exposure — for offences, accidents and challans. A dated agreement and delivery note evidences exactly when responsibility passed.

The buyer has not transferred the vehicle. What can I do?

Chase it, in writing, referring to the undertaking in the agreement. Form 29 can be filed by the transferor as notice of transfer. Bring the papers and we will set out the route — this is much easier to deal with early than after a challan arrives.

What if the vehicle still shows a bank hypothecation?

The financier's entry has to be removed from the registration certificate, normally on production of the lender's NOC. Where the NOC has been lost, there is an affidavit-and-indemnity route. Deal with it before the sale, not after.
